License Terms & Conditions

These License Terms ("Terms") constitute a legally binding agreement between you (individual or entity) and WithData Software ("Licensor") for the use of RedisDataStudio software ("Software"). By purchasing, downloading, installing, or using the Software, you agree to be bound by these Terms.

IMPORTANT: Please read these Terms carefully before using the Software. If you do not agree to these Terms, do not purchase, download, install, or use the Software. By accepting these Terms, you acknowledge that you have read, understood, and agree to be bound by all provisions of this agreement.

1. Definitions

Licensor: WithData Software, a legal entity registered under applicable laws, owner of RedisDataStudio software.
Licensee: You (individual or entity) who has purchased a license to use the Software.
Software: RedisDataStudio software, including all versions, updates, modifications, documentation, and associated materials.
Annual License: A time-limited license granting use of the Software for a period of one (1) year from the purchase date.
Perpetual License: A permanent license granting lifetime use of the Software (excluding optional support services).
License Key: A unique alphanumeric code issued by Licensor to activate the Software under the purchased license.
Device: A single computing device (desktop computer, laptop, server) with a unique operating system installation.

2. License Grant

Licensor grants to Licensee a non-exclusive, non-transferable license to use the Software in accordance with the terms of the purchased license type (Annual/Perpetual).

2.1 Annual License

Valid for 12 months from the date of purchase (activation date of the License Key).
Permits use on up to 2 Devices owned or controlled by the Licensee.
Includes free software updates and upgrades released during the license term.
Includes free technical support for the duration of the license term.
Automatically expires at the end of the 12-month term unless renewed by the Licensee.

2.2 Perpetual License

Grants lifetime use of the Software (perpetual validity) for the Licensee.
Permits use on up to 2 Devices owned or controlled by the Licensee.
Includes free minor upgrades, e.g. 1.0 -> 1.5. ( discount for major upgrades, e.g. 1.0 -> 2.0 ).
Includes lifetime free technical support.
Does not expire and does not require renewal (permanent license).

Important License Restriction

The license grant is for personal or internal business use only. The Software may not be used for commercial resale, rental, leasing, or any form of commercial distribution to third parties.

3. Permitted Use

Subject to these Terms, Licensee may:

Install and use the Software on the number of Devices permitted by the purchased license type.
Make one (1) backup copy of the Software for archival or backup purposes only.
Use the Software for legitimate business, personal, or educational purposes (non-commercial).
Receive and install software updates and upgrades provided by Licensor (as per license type).
Use the Software's features (import, export, edit Redis data) for internal data management purposes.

4. Prohibited Use

Licensee shall not:

Use the Software on more Devices than permitted by the purchased license type.
Transfer, assign, sublicense, share, or lend the License Key or Software to any third party.
Modify, adapt, translate, reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
Remove, alter, or obscure any copyright, trademark, or proprietary notices on the Software.
Use the Software for any illegal, unethical, or unauthorized purpose (including but not limited to data theft, hacking, or violation of privacy laws).
Use the Software to create a competing product or service.
Distribute, sell, rent, lease, or otherwise commercialize the Software or any derivative works.
Use the Software in a manner that violates any applicable local, state, national, or international law or regulation.

5. Intellectual Property Rights

All intellectual property rights (copyright, trademark, patent, trade secret, etc.) in and to the Software, including all versions, updates, and documentation, are and shall remain the exclusive property of Licensor. These Terms do not grant Licensee any intellectual property rights in the Software except for the limited license to use the Software as expressly provided herein.

RedisDataStudio is a trademark of WithData Software. Redis is a registered trademark of Redis Labs, Inc. Use of these trademarks is permitted only in accordance with applicable trademark laws and with proper attribution.

6. License Activation & Validation

The Software requires a valid License Key for activation and use (beyond the free trial period).
The Software may periodically connect to Licensor's servers to validate the License Key and ensure compliance with these Terms.
Licensee agrees to provide accurate information during the license activation process (including email address and purchase details).
Licensor reserves the right to deactivate invalid or fraudulently obtained License Keys at any time without prior notice.

7. License Termination

This license agreement is effective until terminated as provided herein.

Voluntary Termination: Licensee may terminate this agreement at any time by uninstalling the Software and destroying all copies of the Software in their possession.
Termination for Breach: Licensor may terminate this agreement immediately if Licensee breaches any provision of these Terms (including unauthorized use, license key sharing, or prohibited activities).
Expiration: Annual Licenses terminate automatically at the end of the 12-month term unless renewed.

Upon termination of this agreement:

All rights granted to Licensee under these Terms shall immediately cease.
Licensee must uninstall the Software from all Devices and destroy all copies (including backup copies) of the Software.
Licensee shall not be entitled to any refund (except as provided in the Refund Policy) for any unused portion of the license term.

8. Updates & Support

Updates: Software updates and upgrades are provided free of charge as per the license type (Annual License: during term; Perpetual License: minor version).
Technical Support: free technical support is provided as per the license type (Annual License: during term; Perpetual License: lifetime). Support includes assistance with installation, activation, and functional issues (excludes custom integration or third-party software compatibility).
Limitation: Licensor reserves the right to discontinue support for older versions of the Software, but will provide advance notice (minimum 90 days) for such discontinuance.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR THAT ITS USE WILL BE UNINTERRUPTED. LICENSEE ASSUMES ALL RISKS RELATED TO THE USE OF THE SOFTWARE.

10. Limitation of Liability

Liability Cap

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES) ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE LICENSE.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be resolved exclusively in the federal or state courts located in Delaware, United States.

12. Modifications to Terms

Licensor reserves the right to modify these Terms at any time. Modified Terms will be posted on this page with an updated effective date. Continued use of the Software after the modified Terms are posted constitutes acceptance of the revised Terms. Licensee is responsible for reviewing these Terms periodically for changes.
